These Terms of Use (“Terms”) govern your access to and use of the Haven Safety AI Copilot and related services (the “Services”). Haven Safety Corporation (“Haven,” “we,” “our,” or “us”) provides the Services to organizations (“Customers”) under separate agreements. If you are an employee, contractor, or other authorized user of a Customer, your use of the Services is also subject to the terms of your employer’s agreement with Haven.
By using the Services, you agree to comply with these Terms. If you do not agree, do not use the Services.
The Services are intended for use by employers and their workforce. You must be an Authorized User provisioned by a Haven Customer to access the Services.
You are responsible for safeguarding your login credentials and for any activity under your account.
The Services are not directed to children under the age of 16, and you may not use the Services if you are under 16.
Customer Control: Customer retains ownership and control of all data uploaded into the Services (“Customer Data”).
Haven Role: Haven processes Customer Data solely to provide the Services, as a data processor/service provider under the applicable Customer Agreement and data processing addendum (DPA).
User Responsibilities: You must use the Services only in accordance with your employer’s instructions and applicable policies.
Haven grants you a limited, non-exclusive, non-transferable license to use the Services, solely as permitted by the Customer and these Terms.
You agree not to:
Use the Services in violation of law or workplace safety requirements;
Attempt to reverse engineer, copy, or create derivative works of Haven’s software or models;
Upload malicious code or interfere with system security;
Misuse AI outputs in ways that could endanger safety, privacy, or compliance.
All intellectual property rights in the Services, including software, AI models, algorithms, documentation, and branding, are owned by Haven and its licensors. Except for the limited rights expressly granted, no rights are transferred to you.
The Services may generate suggestions, analyses, or reports using artificial intelligence. These outputs are provided for informational purposes only and may contain inaccuracies. Final decisions, including those affecting workplace safety, compliance, or personnel, remain the responsibility of the Customer and its users.
The Services may allow integration with third-party systems (e.g., HR, EHS, SSO providers). Use of third-party services is subject to their own terms and policies. Haven is not responsible for third-party services outside its control.
Both Haven and Customers agree to protect each other’s confidential information as set out in the Customer Agreement. Haven employs administrative, technical, and organizational safeguards to protect Customer Data, but no system is completely secure.
We may suspend or terminate access to the Services if:
You or the Customer violate these Terms or the Customer Agreement;
Use of the Services poses a security or compliance risk;
Payment obligations under the Customer Agreement are not met.
Upon termination, rights granted to you immediately cease, and Customer Data will be handled in accordance with the Customer Agreement and DPA.
The Services are provided “as is” and “as available.”
Haven does not warrant that outputs will be error-free, complete, or suitable for every use case.
To the maximum extent permitted by law, all warranties, express or implied (including merchantability, fitness for a particular purpose, and non-infringement) are disclaimed.
To the fullest extent permitted by law:
Haven will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or data.
Haven’s total liability under these Terms will not exceed the fees paid by the Customer for the Services during the 12 months preceding the claim.
These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. Disputes shall be resolved in accordance with the Customer Agreement.
We may update these Terms from time to time. Material changes will be communicated to Customers or posted on our website. The “Last Updated” date reflects the most recent version. Continued use of the Services indicates acceptance of the updated Terms.
